End User License Agreement

This End User License Agreement ("EULA") is between you and Navifia LLC ("Navifia") and governs your use of the Navifia software for Microsoft Excel and PowerPoint (the "Software"). By installing or using the Software, you agree to this EULA.

1. License grant

Subject to your active subscription (or, during the beta, your active beta key) and compliance with this EULA, Navifia grants you a limited, non-exclusive, non-transferable license to install and use the Software on up to two devices at a time per license, for your own internal business or personal use. You may move an activation to a different device by deactivating it on a current one first.

2. Per-seat license — no redistribution

Each license is for use by one individual user. You may not:

  • Share a single license key across multiple people simultaneously beyond the device limit.
  • Redistribute, resell, sublicense, rent, lease, lend, or otherwise transfer the Software to any third party, except by moving your own single license between your own devices as described above.
  • Use the Software to provide a service to third parties (e.g. a bureau/managed-service offering built on top of Navifia) without a separate written agreement.
  • Copy the Software, except to make one backup copy for archival purposes and as strictly necessary to install and run it under this EULA.
  • Modify, adapt, translate, or create derivative works based on the Software or any part of it.
  • Reverse-engineer, decompile, disassemble, deobfuscate, or otherwise attempt to derive the source code, underlying ideas, algorithms, or structure of the Software, except to the extent applicable law expressly permits despite this restriction (and then only after giving Navifia written notice and an opportunity to provide the needed information).
  • Circumvent, disable, tamper with, or interfere with the Software's license activation, validation, licensing, or any security or technical protection measure — including any obfuscation or anti-tamper mechanism — or use the Software with a key you are not authorized to use.
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices.
  • Publish or disclose to any third party the results of any benchmark or performance test of the Software without Navifia's prior written consent.

All rights not expressly granted to you in this EULA are reserved by Navifia.

3. Ownership

The Software is licensed, not sold. Navifia and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. This EULA gives you no rights to Navifia's trademarks or branding.

4. Your content

You retain all rights to your workbooks, presentations, and data. The Software does not transmit your file content to Navifia — see the Privacy Policy for details.

5. License validation

The Software periodically contacts Navifia's license server to confirm your subscription is active. This exchange includes only your license key and a device identifier — never file content. If validation fails (e.g. your subscription lapsed, or the device limit is exceeded), the Software may restrict or disable functionality until resolved.

6. Beta software

If you're using the Software under a beta key, it is provided free of charge, "as is," and may be modified, limited, or discontinued at any time. See the Terms of Service for the full beta terms.

7. Updates

Navifia may release updates to the Software. Some updates may be required to continue using the Software or to maintain compatibility with Microsoft Office.

8. Termination

This license terminates automatically if you breach this EULA. Upon termination, you must stop using the Software and uninstall it from all devices.

9. Disclaimer and liability

The Software is provided "as is" without warranty of any kind. See the Terms of Service for the full disclaimer and limitation of liability, which apply equally here.

10. Governing law

This EULA is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles, and the venue and dispute-resolution terms in the Terms of Service apply equally here. If you are a consumer, nothing in this EULA removes any mandatory rights you have under the law of the country where you live.
